1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, platform, and services provided by Titan Lead Group, Inc. ("Titan Lead Group," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use our services.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

2. Description of Services

Titan Lead Group operates a lead generation and distribution platform that connects consumers seeking services with qualified service providers. Our services include:

• Lead Generation: We operate a portfolio of owned and operated websites and applications that capture consumer interest in various service categories including home services, legal, insurance, healthcare, financial services, education, and auto services
• Lead Distribution: Through our proprietary ping-post technology, we match and distribute consumer leads to qualified buyers in real time
• Marketplace Platform: We provide a platform for lead buyers and sellers to transact, manage campaigns, and track performance
• Call Routing: We offer inbound call transfer and IVR-based lead qualification services

3. Account Registration and Responsibilities

To access certain features of our platform, you must create an account. By registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to our platform or other users.

4. Lead Purchase Terms

4.1 For Lead Buyers

By purchasing leads through our platform, you agree to the following:

• Leads are sold on a per-lead or per-call basis at prices determined through our real-time bidding system or pre-negotiated rates
• Lead pricing may vary based on vertical, geography, lead quality, exclusivity, and other factors
• You are responsible for contacting leads promptly and in compliance with all applicable laws, including the TCPA and state telemarketing regulations
• Leads are provided "as is" — while we employ quality filters, we do not guarantee conversion rates or outcomes
• You may not resell, redistribute, or transfer leads purchased from Titan Lead Group without prior written authorization
• You must comply with all data privacy laws when handling consumer information received through our platform

4.2 For Lead Sellers

By selling leads through our platform, you agree to the following:

• All leads submitted must be generated in compliance with applicable laws, including TCPA, CAN-SPAM, and state consumer protection regulations
• You must have proper consent documentation for all leads submitted
• Leads must be generated from legitimate sources — no incentivized, co-registered, or scraped data
• You are responsible for the accuracy and quality of lead data submitted
• Titan Lead Group reserves the right to reject, return, or deduct payment for leads that do not meet quality standards

5. Return and Dispute Policy

We understand that lead quality is paramount. Our return policy operates as follows:

• Return Window: Lead return requests must be submitted within 72 hours of lead delivery
• Valid Return Reasons: Disconnected phone numbers, wrong numbers, duplicate leads (previously purchased from Titan Lead Group within 30 days), leads outside of contracted geographic or demographic criteria, and fraudulent/fake information
• Non-Returnable: Leads are not returnable due to non-contact (consumer didn't answer), consumer changed their mind, or consumer chose a competitor
• Review Process: All return requests are reviewed within 5 business days. Approved returns will be credited to your account balance
• Dispute Resolution: If you disagree with a return decision, you may escalate the dispute to your account manager for further review

Titan Lead Group reserves the right to modify the return policy at any time with reasonable notice to active buyers.

6. Payment Terms

• Buyer Payments: Buyers may be required to maintain a prepaid balance or may be invoiced on net terms (Net 15 or Net 30) as agreed upon during onboarding. All invoices are due by the stated due date
• Seller Payments: Sellers are paid on a Net 30 basis from the end of the billing period, unless otherwise specified in a separate agreement
• Late Payments: Overdue balances may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is less
• Payment Methods: We accept ACH, wire transfer, and major credit cards. Additional processing fees may apply for credit card payments
• Account Suspension: Accounts with overdue balances exceeding 15 days may be suspended until payment is received

7. Intellectual Property

All content, technology, trademarks, and intellectual property associated with Titan Lead Group's platform and services are owned by or licensed to Titan Lead Group, Inc. This includes but is not limited to:

• Our proprietary ping-post and lead distribution technology
• Website designs, logos, and branding materials
• Platform software, APIs, and related documentation
• Aggregated and anonymized data insights and analytics

You may not copy, modify, distribute, sell, or lease any part of our services or technology without prior written consent. You may not reverse engineer or attempt to extract the source code of our software.

8. Prohibited Conduct

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws
• Submit fraudulent, fabricated, or misleading lead data
• Attempt to circumvent our quality filters, fraud detection, or security measures
• Scrape, crawl, or use automated means to access our platform without authorization
• Interfere with or disrupt the integrity or performance of our services
• Impersonate any person or entity or misrepresent your affiliation
• Use our platform to send unsolicited communications in violation of applicable laws

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TITAN LEAD GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TITAN LEAD GROUP DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Titan Lead Group, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights, including privacy and intellectual property rights; or (d) your violation of any applicable law or regulation.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any separate agreements entered into between you and Titan Lead Group, constitute the entire agreement between you and Titan Lead Group regarding your use of our services.
